Introduction

These terms and conditions outline the rules and regulations for the use of the services provided by Anne Oliver as a sole trader, providing Bookkeeping and Business Support services. By accessing and using my services, you agree to comply with and be bound by these terms and conditions. If you do not agree with any part of these terms and conditions, you must not use my services.

1. Definitions

In these terms and conditions:

  • “Business” refers to Anne Oliver operated as a sole trader by Anne Oliver.
  • “Client” refers to any individual or entity that purchases or uses the services provided by the Business.
  • “Services” refers to the products or services offered by the Business.

2. Provision of Services

The Business agrees to provide the services to the Client in accordance with these terms and conditions. All services are subject to availability, and the Business reserves the right to refuse service to any Client for any reason.

3. Client Obligations

The Client agrees to:

  • Provide accurate and complete information when requested by the Business.
  • Comply with all applicable laws and regulations in relation to the use of the services.
  • Make timely payments for the services according to the agreed payment terms.

4. Fees and Payment

  • All fees for the services are specified in the relevant letter of engagement or invoice.
  • Payment must be made within 7 days of the invoice date, unless otherwise agreed in writing.
  • The Business reserves the right to charge interest on overdue payments at a rate of 1% above Bank of England rate per annum.

5. Cancellations and Refunds

  • Clients may cancel their service by providing 30 days’ notice in writing.
  • Refunds will only be issued for services that have not yet been provided, and any applicable cancellation fees may apply.

6. Limitation of Liability

  • The Business will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the services.
  • The Business’s total liability to the Client for any claim arising out of or in connection with the Services will not exceed the amount paid by the Client for the services.

7. Intellectual Property

  • All intellectual property rights in the services, including but not limited to copyrights, trademarks, and patents, remain the property of the Business or its licensors.
  • The Client is granted a limited, non-exclusive, non-transferable license to use the services for their intended purpose.

8. Confidentiality

  • Both parties agree to keep confidential any information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.
  • This confidentiality obligation does not apply to information that is publicly available, was known to the receiving party before disclosure, or is required to be disclosed by law.

9. Termination

  • Either party may terminate the service by providing 30 days’ notice in writing to the other party.
  • Upon termination, the Client must immediately cease using the s0ervices and pay any outstanding fees.

10. Governing Law and Jurisdiction

  • These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom.
  • Any disputes arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of England.

11. Amendments

The Business reserves the right to amend these terms and conditions at any time by providing notice to the Client. Continued use of the services after any such amendments will constitute the Client’s acceptance of the amended terms and conditions.

12. Severability

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Entire Agreement

These terms and conditions constitute the entire agreement between the Business and the Client regarding the use of the services and supersede all prior agreements and understandings, whether written or oral.
